5. DISCLAIMER OF WARRANTIES
YOUR ACCESS TO, OR OTHER USE OF, THE WEBSITE OR THE MATERIAL IS AT YOUR OWN RISK. THE WEBSITE AND THE MATERIAL ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER DERICK DERMATOLOGY NOR ANY PERSON ASSOCIATED WITH DERICK DERMATOLOGY MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE WEBSITE OR THE MATERIAL.
6. LIMITATION ON LIABILITY
TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL DERICK DERMATOLOGY OR ITS SUBSIDIARIES, AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, DIRECTORS, OR REPRESENTATIVES (COLLECTIVELY, THE “DERICK DERMATOLOGY PARTIES”) BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH THE WEBSITE, THE MATERIAL, OR ANY THIRD-PARTY LINKS OR INTEGRATED SERVICES. THIS INCLUDES ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, PERSONAL INJURY, PAIN AND SUFFERING, OR EMOTIONAL DISTRESS, WHETHER SUCH ALLEGED DAMAGE(S) MAY BE CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE. THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
7. INDEMNIFICATION
You agree to indemnify, defend, and hold Derick Dermatology and the Derick Dermatology Parties harmless from and against any and all claims, causes of action, allegations (threatened or pending), liabilities, damages, losses, costs, and other expenses (including attorneys’ fees and costs) arising out of, or in connection with, any of the following: (i) your access to or other use of the Website; (ii) your breach or other violation of these Terms; (iii) your violation of the rights of any third party, including any intellectual property, publicity, confidentiality, property, or privacy right; or (v) any misrepresentation made by you related to the Website. Derick Dermatology reserves the right to control the defense and settlement of any third-party claim subject to your indemnification obligations under these Terms, and you will assist us in exercising such rights. In any event, you agree that you will not settle any claim without the prior written consent of Derick Dermatology.
8. DISPUTE RESOLUTION
Derick Dermatology seeks to resolve disputes amicably and efficiently, and many issues can be resolved by emailing [email protected] to tell us about your concern. In the unlikely event that a disagreement arises between you and Derick Dermatology regarding, relating to, or connected in any way with the Website (a “Dispute”), you agree that, before initiating any legal action, you will first provide us written notice (a “Notice of Dispute”) via email at [email protected] so that we may work with you in good faith to find a mutually agreeable solution. Your Notice of Dispute must describe the nature and basis of the Dispute, and set forth the specific relief you are seeking.
During the sixty (60) days from the date we receive your Notice of Dispute, both parties agree to engage in good faith efforts to resolve the Dispute. During this 60-day period, both parties agree to toll any statutes of limitations that may apply, along with any filing deadlines.
We will consider reasonable requests to resolve a Dispute through alternative dispute resolution procedures, such as mediation or arbitration.
UNLESS OTHERWISE PROHIBITED BY APPLICABLE LAW, YOU WAIVE ANY RIGHT TO A JURY TRIAL AND YOU AGREE THAT ANY AND ALL DISPUTES (WHETHER BASED IN CONTRACT, STATUTE, TORT OR ANY OTHER THEORY) WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE ACTION. ALL CLAIMS MUST BE BROUGHT SOLELY IN A PARTY’S INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, CONSOLIDATED ACTION, REPRESENTATIVE ACTION OR PROCEEDING.
To the fullest extent permitted by applicable law, you must assert any Dispute (by delivery of the Notice of Dispute) within one (1) year after the Dispute arises, or it will be forever barred.
9. JURISDICTION AND VENUE
These Terms will be construed and enforced in accordance with the laws of Florida. You agree that any cause of action arising under these Terms or otherwise involving the Website will be brought exclusively in the local, state, or federal courts of Florida. You expressly consent to personal jurisdiction and venue in such courts, and waive any objection to personal jurisdiction or venue in the local, state, or federal courts of Florida.
10. GENERAL
Entire Agreement; Interpretation. These Terms constitute the entire agreement between Derick Dermatology and any user of the Website with respect to the subject matter herein, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Website. The summaries of provisions and section headings are provided for convenience only and shall not limit the full Terms.
Waiver; Severability; Assignment. Any failure of Derick Dermatology to assert a right or to enforce any provision under these Terms shall not constitute a waiver of such right or provision, nor shall it be construed to be a present or future waiver of these Terms. If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be severed from the remaining terms, conditions, and provisions, or limited to the minimum extent such that the remaining provisions of these Terms will continue to be valid to the fullest extent permitted by law. Derick Dermatology may assign its rights and obligations under these Terms, in whole or in part, to any party at any time without any notice. These Terms may not be assigned by you, and you may not delegate your duties under them, without the prior written consent of Derick Dermatology
